GENERAL TERMS AND CONDITIONS OF ONLINE SALE

1. Subject

These General Terms and Conditions of Sale ("General Conditions") govern the online sale of products through the e-commerce service on the Website www.jewelsforpalnet.com to consumer purchasers of Products ("Customer"), regulated in particular by Legislative Decree no. 206/2005 ("Consumer Code") and Legislative Decree no. 70/2003.

The e-commerce service is offered by Metajewels srl, with registered office in Ferrara, via della luna 36, 44121 Ferrara, registered with the Ferrara Chamber of Commerce, registration number, VAT number and tax code 04429850243.

Metajewels srl does not deliver Products to countries other than those indicated. Not all Products may be available for purchase in the country of the Website visitor. The Customer's acceptance of the conditions is essential for the completion of the Product purchase procedure.

2. General Conditions

2.1 The General Conditions applicable to the sale of Products on the Website are those published on the Website in the section “General Conditions” on the date of sending the Purchase Order by the Registered Customer. By placing an order in the various ways provided, the Customer declares to have read all the information provided during the purchase procedure, and to fully accept the general and payment conditions transcribed below.

2.2 Once the online purchase procedure is completed, the Customer will print or save an electronic copy and in any case keep these general terms and conditions of sale, in compliance with the provisions of the Consumer Code (Legislative Decree 206/05) on distance selling.

2.3 These General Conditions may be modified at any time. The version of the General Conditions published at the time of the conclusion of the Contract shall be valid between the Parties. Metajewels srl cannot in any case be bound by conditions sent by the Customer or in any way different from these. Prices, Products on the Website and their characteristics are subject to change without notice.

2.4 These General Conditions do not govern the sale of products and/or the provision of services by parties other than Metajewels srl or MATHERIA that are present on the Website via links, banners or other hypertext links. Before carrying out commercial transactions with such parties, the Customer must verify their terms and conditions of sale. Metajewels is not responsible in any way for the provision of services and/or for the sale of products by such parties. Metajewels does not carry out any control and/or monitoring on the websites that can be consulted through these links. Metajewels is therefore not responsible for the content of such websites or for any errors and/or omissions and/or violations of law by them.

3. Website Registration

3.1 To make a purchase, the Customer must register on the website www.MATHERIA.com, access the dedicated reserved area with their Credentials, indicating an email address and a password to log in, after having read the Privacy Policy regarding the processing of personal data. The Customer selects the Product to purchase and adds it to the appropriate "Cart" section of the Website, where the characteristics of the Products, the price, the applicable VAT, and shipping costs will be displayed.

3.2 The registration credentials, which can be modified by the Registered Customer at any time by accessing their MATHERIA Account, are personal and cannot be transferred to third parties. Registration on the Website is free.

3.2. The Customer must complete, even at a later time than registration but in any case at least before sending their first Purchase Order on the Website, the Website registration procedure, by accessing their MATHERIA Account and providing the requested information and personal data.

3.3 The Registered Customer guarantees that the information provided during the Website registration procedure is complete, correct and truthful. The user agrees to indemnify Metajewels srl from any compensation obligation, penalty deriving and/or in any way connected to the Registered Customer's violation of the Website registration rules. All operations carried out using the registration credentials are considered carried out by the Registered Customer to whom the registration credentials refer.

3.4 By sending the order, the Customer expressly consents to Metajewels srl's use of email, telephone, and address in relation to the conclusion and execution of the contract.

3.5 The Registered Customer can view the Purchase Orders placed in their MATHERIA Account, and can also manage and save personal data.

3.6 By registering on the Website, the Registered Customer may agree to receive, through the contacts provided, any invitations to participate in sales and commercial proposals from MATHERIA. At any time, by clicking on the appropriate link at the bottom of the invitation, the Registered Customer may request not to receive further invitations to participate in sales.

3.7 The registered Customer can cancel their registration on the Website at any time by sending an email to info@metajewels.it

4. Purchase procedure and conclusion of the Contract

4.1 The Customer can access the Website and view the Products for sale on the Website, know the characteristics and price of the Products (expressed in Euros and including VAT), shipping and delivery costs; the Customer can also view photographs of the Products, published for the sole purpose of illustrating the Products themselves.

4.2 Metajewels srl will send the Customer an order confirmation email, containing the terms of sale and the order placed. The Customer's order and the order confirmation with the relevant applicable General Conditions are stored electronically.

4.3 The Product sales contract is considered concluded when Metajewels srl receives payment of the price from the Customer.

4.4 The validity of the contract is subject to the availability of the Product. In the event that the Product is no longer available, Metajewels srl will notify the Customer within 20 days of receiving the Order and reserves the right to terminate the sales contract, refunding the Customer the entire price paid, without any further charge or burden whatsoever for Metajewels srl.

4.5 The Customer must check the correctness of the data contained in the Order Confirmation with the utmost care and attention and communicate any corrections to Metajewels srl within 24 (twenty-four) hours of receiving it.

4.6. The Purchase Order bears an order number to refer to for any communication relating to the Purchase Order itself.

4.7. If the Customer possesses a Discount Code, they can obtain a discount on the price of the Product as indicated on the Website; the discount is limited to the price of the Product and does not apply to shipping costs. The Discount Code can be received by the Customer through the contacts provided by them in accordance with this Contract as part of promotional and advertising campaigns carried out by MATHERIA or other methods specified by MATHERIA through the Website (e.g., subscribing to the newsletter). The communication with which the Registered Customer receives the Discount Code will indicate, from time to time, if i) the Discount Code has an expiration date beyond which it can no longer be used and ii) if the Discount Code entitles them to a fixed or percentage discount.

4.8 If the customer requests a customized product not available on the website, Metajewels srl will communicate the production and shipping time to the customer depending on the product. Metajewels srl will not be held responsible for any delays due to raw materials supplied by third parties.

5. Payment Methods

5.1 To pay for the Products and their shipping and delivery costs, you can use one of the methods indicated on the website www.MATHERIA.com, which are summarized below:

• Advance bank transfer of the full price of the Product,

  Within and no later than 5 (five) days from receipt of the Acceptance, therefore, the bank transfer must be made by the Registered Customer to Metajewels srl. to the following bank details:

• Debit of the full price of the Product on a credit card belonging to the circuits indicated on the Website or by debiting their Paypal account. The Customer will be redirected to the website of the institution in charge of managing the payment procedures where they will have to enter their credit card or Paypal account credentials, as well as any other requested data, authorizing the institution to debit the amount of the Purchase Order from said credit card or Paypal account. Conversely, if the Order is not accepted, no amount will be debited from the card indicated by the Registered Customer. Under no circumstances will Metajewels srl be able to access the credit card data or other data provided during payment. Metajewels srl will not be held responsible in any way for any illicit or fraudulent use that may be made by third parties of the Customer's credit card.

• KLARNA - INSTALMENT PAYMENT Split the payment into 3 monthly instalments, with no additional cost. The first instalment is charged at the time of purchase, while the other two are automatically deducted each month.
  

6. Delivery of Products

6.1 Metajewels srl uses the courier Ferrari, DHL Express, Gls, TNT or any other courier chosen by Metajewels srl from time to time, at its sole discretion, which handles the deliveries of Products purchased on the Website.

6.1.1 Delivery by Courier.

Deliveries are made by the Courier to the postal address indicated by the Registered Customer in the Purchase Order. Deliveries will be made from Monday to Friday, during normal office hours, excluding national holidays.

6.1.2 Delivery is considered complete when the Product is made available to the Registered Customer at the address specified in the Purchase Order. In the event that the package shows clear signs of tampering or alteration, the Registered Customer must report it at the time of delivery by signing the appropriate document offered by the Courier. In the absence of notification as indicated above, the Registered Customer will not be able to oppose to Metajewels srl any defect of the delivered Product or its absence within the package.

6.1.3 In case of non-delivery due to the absence of the recipient at the specified address, the Courier will attempt delivery again within the next 7 (seven) working days. Should the second delivery attempt also fail, the Product will be returned to Metajewels srl, after a storage period with the Courier (5 days for Products purchased with cash on delivery, 15 days for all other Products).

6.1.4 The following applies to all Purchase Orders. In the event that, following 2 (two) failed delivery attempts, the Product is returned by the Courier to Metajewels srl, the latter will inform the Customer by e-mail of the delivery attempts made and of the fact that the Product has been returned to it by the Courier and (ii) of the place where the Product can eventually be collected by the Customer within the following thirty days, unless the latter requests a new shipment at their own expense.
After thirty days from the date on which the Product was returned to Metajewels srl and the Customer has not collected the Product or requested a new shipment, the Contract will be deemed terminated and the Purchase Order cancelled pursuant to art. 1456 c.c. In such an event, Metajewels srl will proceed with the refund of the sum paid by the Registered Customer net of the costs of the unsuccessful product delivery as well as the costs of returning it to Metajewels srl and storage costs, hereby determined as a lump sum of Euro 15.

6.1.5 In case of delivery impediments, Metajewels srl will contact the user via email to inform them of the delay in delivery times. Metajewels cannot be held responsible in any way for any delays due to third parties and/or force majeure.

7. Legal Warranty and Liability

7.1 All Products sold on the Website are covered by the Legal Warranty of Conformity provided for by articles 128-135 of the Consumer Code (Legal Warranty).

If you purchase as a "consumer", you benefit from the legal warranty of conformity which the seller is legally obliged to provide for every good sold ("Legal Warranty").

The Legal Warranty - guarantees the good against defects of conformity with the sales contract.

7.2 The Customer is obliged to report the lack of conformity to Metajewels srl by registered mail with return receipt within the peremptory period of two months from the date of discovery of the defect. Metajewels srl is responsible when the lack of conformity becomes apparent within two years of delivery.

7.3. The legal warranty of conformity applies only to defects not resulting from normal use of the Product. Products that have been repaired, modified, or altered in any way are excluded from the legal warranty. Also excluded from the scope of the legal warranty are any breakdowns or malfunctions or other types of defects caused by accidental events or by the Registered Customer's responsibility, or by a use of the Product that does not comply with its intended use and/or with what is provided in the technical documentation attached to the Product, if any, or in the instructions for use relating thereto.

In no case shall Metajewels srl be held responsible for the non-fulfillment of any of its obligations arising from the Contracts subject to these General Conditions in the event that the non-fulfillment is caused by unforeseen circumstances and/or force majeure, including, by way of example only, natural disasters, terrorist acts, network malfunctions and/or blackouts.

The liability of Metajewels srl, in any case, shall not exceed the total value of the Purchase Order.

8. Withdrawal

8.1.
Pursuant to articles 52 et seq. of the Consumer Code, the Customer who qualifies as a "consumer" within the meaning of the Consumer Code has the right to withdraw from the Contract at their discretion, without any penalty and without specifying the reason, within 14 (fourteen) days from the day of delivery of the Products. The courier's delivery note or the Order delivery document constitutes full proof of receipt.

8.2 In relation to Products delivered by Courier pursuant to the preceding article 6.(i), withdrawal may be exercised as provided by current legislation.

8.3 At the following link the Registered Customer can manage orders, cancellations and withdrawals pursuant to art. 8.4 above. The Registered Customer must send, using a carrier of their choice and at their own expense, within 14 (fourteen) days from the date of withdrawal, the purchased Product to the following address: Metajewels srl Via della luna 36, 44121 Ferrara, Italy.

The costs and risks associated with the return of the Product are borne by the Registered Customer.

The Products must be returned intact and properly packaged, in their original packaging, complete with all accessories and accompanied by the delivery note.

8.5 If the Registered Customer exercises the right of withdrawal in accordance with this article and in compliance with the provisions of articles 52 et seq. of the Consumer Code, Metajewels, within 14 (fourteen) days from the receipt of the communication referred to in art. 10.1, and in any case after the return of the Product or only after having verified that the Registered Customer has sent back the Product, will refund the Registered Customer the amounts paid for the purchase of the Products, including shipping costs incurred for sending the Products themselves, by bank transfer to the bank details indicated by the Registered Customer on the withdrawal form.

8.6 The right of withdrawal referred to in this art. 10 is not granted to Registered Customers who are not consumers according to the Consumer Code and who are therefore natural or legal persons acting in the exercise of their business, commercial, artisanal or professional activity or an intermediary thereof.

8.7 The right of withdrawal referred to in this art. 10 cannot be exercised where the object of the Purchase Order is a Customized Product, pursuant to art. 59, paragraph 1, letter c), Consumer Code.

9. Content

9.1. The Content of the Website is protected by copyright and any other intellectual property right of Metajewels srl and other rights holders. The reproduction, modification, duplication, copying, distribution, sale or any other exploitation of the Website Content is prohibited unless previously authorized in writing by Metajewels srl or the rightful owners. Any use of the Website content for commercial and/or advertising purposes is also prohibited.

9.2. All other trademarks, distinctive signs, images, models that distinguish the Products sold on the Website or otherwise connected to them, registered by their respective owners or otherwise subject to third-party proprietary rights, are used by Metajewels for the sole purpose of distinguishing and describing the Products for sale on the Website.

Any use of the aforementioned trademarks, distinctive signs, images and models by the Website user or anyone else not in compliance with the law is prohibited.

9.3. Under no circumstances may the user alter, change, modify or adapt the Website, or its Content.

10. Personal Data Protection

10.1. Metajewels srl is the data controller for personal data collected at the time of registration to the Website, as well as those subsequently communicated at the time the Registered Customer submits a Purchase Order.
For information relating to the processing of personal data, including the rights referred to in articles 15-16-17-18-20 of EU Regulation 2016/679, please refer to the detailed privacy policy (Privacy Policy) available on the Website and accepted by the Registered Customer at the time of registration to the Website itself.
